Since I am putting these hard drives into a basically whole new comp (mobo, chip, ram) will I have a problem with windows saying it's now in a whole new comp and not work? I have heard of this problem before.
if it does become a problem, how do I get it to work? is there a phone number to call? or I can get another copy of of winxp pro upgrage for $10, so I could reinstall it again over my previous copy with a new serial number....
what should I do?

I used to side with Dooo on this matter. But I would try to get it to work and get it licensed through legit means. Microsoft is really clamping down on updates and enhancements like Anti-spyware by verifying that your are licensed correctly via the web. Its a pain in the ass and I recommend avoiding it.
I would contact Microsoft if you can't re-activate XP. A new installation gives you 30 days to do so.

Yeah, I can no longer do automatic updates for non-critical stuff. However, you can always find the updates posted somewhere. I would agree with Jabe tho, if you have a legit means then do it. Download sysprep.exe off your XP CD and follow the instructions. What that does is factory seal your HD so that if your puting in new hardware then it automatically detects it without giving you the reinstall issues 90% of the time.

You could just ask a friend who has the corporate editions of said software to get you a copy. They have volume license keys that don't require online activation. And whoever these friends are they never have a problem with downloading updates.

I just did exactly what you're planning on doing with my new PC, and I had to completely re-install WinXP Pro and then re-download all of the security updates.
It's a COLLOSSAL pain in the ass and I can't even tell you how long it took because I FELL ASLEEP IN THE CHAIR while it was re-installing.
It won't even give you any warning about hardware upgrades. It's such a huge upgrade in tech that it simply will not boot up.
I had to essentially "repair" my copy of XP, wherein it uninstalled everything (I actually watched it uninstall all of the security patches, etc.) and then put a new install in. Then I got to dl all of the security upgrades et all. Let me tell you something: XP-Pro in a fresh 1.0 install is DOG ASSED SLOW.
